We may require additional verification before granting access to sensitive account functions.

4. Subscription Plans, Fees, and Payments

ManageWhat may offer subscription plans, demonstrations, promotional access, or trial periods.

Subscription prices, included features, billing frequency, and applicable usage limitations will be specified in the relevant subscription agreement, order form, or published pricing information.

Unless otherwise agreed in writing:

  • Subscription fees are payable in advance.
  • Subscriptions renew automatically only where this has been clearly disclosed and authorized during registration or purchase.
  • Customers may cancel renewal through the available account cancellation process or by contacting ManageWhat.
  • Cancellation ordinarily takes effect at the end of the paid subscription period.

ManageWhat may revise subscription prices by providing at least 30 days' advance notice. Price changes will ordinarily apply from the next renewal period.

Any automatic renewal or cancellation procedure will comply with applicable subscription and consumer protection laws.

5. Customer Data Ownership

Customers retain ownership of all information, documents, files, case records, communications, and other materials lawfully uploaded or entered into ManageWhat ("Customer Data").

ManageWhat does not acquire ownership of Customer Data.

Customers grant ManageWhat a limited, non-exclusive license to host, store, reproduce, transmit, process, and display Customer Data solely as reasonably necessary to:

  • Deliver the contracted services.
  • Maintain and secure the Platform.
  • Provide technical support.
  • Perform authorized integrations.
  • Comply with applicable legal obligations.
  • Carry out other processing expressly authorized by the customer.

ManageWhat will not sell Customer Data or use confidential client or case information for advertising.

Customer Data will not be used to train third-party artificial intelligence models without separate, explicit authorization from the customer.

Customers are responsible for ensuring that they have the legal right and appropriate authorization to upload and process their information.

6. Confidentiality and Legal Professional Privilege

ManageWhat recognizes that law firms may store highly confidential information, including privileged communications, legal strategies, personal information, and sensitive case documentation.

We will treat Customer Data as confidential information and restrict access to authorized personnel and service providers who require access for legitimate service-related purposes.

ManageWhat will implement reasonable technical and organizational safeguards appropriate to the nature of the information processed.

Customer information will not be intentionally disclosed to unauthorized third parties except:

  • As directed or authorized by the customer.
  • To contracted service providers bound by appropriate confidentiality obligations.
  • Where disclosure is required by applicable law or lawful legal process.
  • Where reasonably necessary to investigate or prevent security threats or unlawful activity.

Where legally permitted, ManageWhat will provide reasonable notice before disclosing confidential Customer Data in response to compulsory legal process.

Use of ManageWhat does not itself waive any applicable attorney-client privilege or professional confidentiality protection.

However, each law firm remains responsible for determining whether use of a cloud-based service complies with its professional obligations and applicable jurisdictional requirements.

7. Data Protection and Privacy

ManageWhat processes personal information in accordance with its published Privacy Policy and applicable data protection legislation.

Depending on the jurisdiction and processing activity, relevant legislation may include the California Consumer Privacy Act, as amended, the European Union General Data Protection Regulation, and the United Kingdom GDPR.

For personal information contained in legal case files, the subscribing law firm generally determines the purposes and means of processing, while ManageWhat processes the information on the firm's behalf.

For account administration, billing, website operations, and certain security functions, ManageWhat may act as an independent controller or business.

Where legally required, the parties will enter into a separate Data Processing Agreement addressing processing instructions, confidentiality, subprocessors, security, international transfers, and data subject rights.

Customers must obtain any necessary permissions, provide required privacy notices, and ensure they have an appropriate legal basis for processing client information.

Our Privacy Policy is available at: https://managewhat.com/privacy .

8. Security and Access Controls

ManageWhat will maintain reasonable security measures designed to protect Customer Data against unauthorized access, alteration, disclosure, or destruction.

Such measures may include authentication controls, encrypted communications, role-based permissions, security monitoring, access logs, and other safeguards appropriate to the Platform.

Customers acknowledge that no internet-based system can guarantee absolute security.

Customers are responsible for maintaining secure devices, protecting account credentials, configuring appropriate user permissions, and notifying ManageWhat promptly of suspected unauthorized access.

ManageWhat will investigate confirmed security incidents and provide notifications as required by applicable law and contractual commitments.

Where an incident affects Customer Data, ManageWhat will reasonably cooperate with the affected customer in assessing the incident and fulfilling applicable notification obligations.

9. Professional Responsibility of Law Firms

ManageWhat provides administrative and workflow technology. It does not replace professional legal judgment or the responsibilities of licensed legal practitioners.

Each law firm remains solely responsible for:

  • Legal advice and representation.
  • Compliance with professional conduct rules.
  • Client confidentiality and conflict-of-interest procedures.
  • Court, tribunal, immigration, and regulatory filing deadlines.
  • Accuracy of legal documents and submissions.
  • Verification of case information.
  • Client communications and professional supervision.
  • Compliance with applicable document retention requirements.

ManageWhat does not guarantee the success of any legal matter, application, filing, or proceeding.

Automated reminders, case statuses, and notifications are supplementary management tools and must not be relied upon as the sole method of monitoring legally significant deadlines.

Users must independently verify all critical dates and maintain appropriate backup procedures.

10. Communications, Email, and SMS

ManageWhat may provide functionality for sending case updates, reminders, and other communications through email and SMS.

Customers are responsible for the legality, accuracy, and appropriateness of communications initiated through their accounts.

Customers must comply with applicable laws concerning electronic communications, privacy, consent, marketing, and unsolicited messages, including the United States Telephone Consumer Protection Act and CAN-SPAM Act where applicable.

Customers must obtain required recipient consent and honor applicable opt-out requests.

ManageWhat does not guarantee immediate or successful delivery of every message.

Delivery may be affected by network conditions, telecommunications providers, spam filters, inaccurate recipient information, or third-party service interruptions.

Customers must not use the Platform to distribute spam, fraudulent messages, harassment, or unlawful communications.

11. Acceptable Use Policy

Users agree to use ManageWhat only for lawful and authorized business purposes.

The following activities are prohibited:

  • Unauthorized access to another customer's account or information.
  • Uploading malicious software, viruses, or harmful code.
  • Attempting to bypass security controls.
  • Conducting unauthorized penetration testing or vulnerability scanning.
  • Using the Platform for fraud, harassment, or unlawful activity.
  • Infringing intellectual property rights.
  • Interfering with system availability or performance.
  • Using automated scraping tools without written authorization.
  • Copying or reproducing substantial portions of the software.
  • Reverse engineering or attempting to extract proprietary source code, except where applicable law expressly permits.
  • Reselling or sublicensing the Platform without authorization.
  • Using the Platform or its proprietary materials to develop a competing product in violation of applicable intellectual property rights or contractual restrictions.

ManageWhat may investigate suspected violations and suspend or terminate access where reasonably necessary to protect the Platform, customers, or third parties.

12. Intellectual Property Rights

All rights, title, and interest in ManageWhat's software, source code, architecture, interface designs, databases, trademarks, logos, documentation, and proprietary technology remain the property of Business and Project Analysts LLC or its licensors.

Customers receive a limited, non-exclusive, non-transferable right to access and use the Platform for their authorized internal business operations during the applicable subscription period.

No ownership interest in ManageWhat's technology is transferred to customers.

Customers may not reproduce, distribute, license, commercialize, or otherwise exploit ManageWhat's intellectual property without prior written permission.

Any suggestions or feedback voluntarily provided to ManageWhat may be used to improve its products without compensation, provided such use does not disclose confidential Customer Data.

13. Service Availability and Maintenance

ManageWhat will use commercially reasonable efforts to maintain reliable Platform availability.

However, uninterrupted access cannot be guaranteed.

Temporary service interruptions may occur because of:

  • Scheduled maintenance.
  • Software upgrades.
  • Infrastructure failures.
  • Telecommunications outages.
  • Cybersecurity incidents.
  • Third-party provider failures.
  • Events outside ManageWhat's reasonable control.

Where reasonably practical, customers will receive advance notice of scheduled maintenance likely to cause material disruption.

Unless a separate Service Level Agreement expressly provides otherwise, ManageWhat does not guarantee a specific uptime percentage.

Customers should maintain independent safeguards for essential documents, filing deadlines, and business continuity.

14. Third-Party Services and Integrations

ManageWhat may integrate with external providers offering cloud hosting, document storage, telecommunications, authentication, payment processing, or other services.

Use of certain integrations may be subject to additional third-party terms.

ManageWhat is not responsible for independent acts, omissions, or outages of third-party providers beyond its reasonable control.

However, ManageWhat remains responsible for obligations that applicable law or an agreement expressly places upon it concerning its service providers.

Customers authorize the transfer of information to integrated services only to the extent necessary for the requested functionality and in accordance with applicable data protection requirements.

15. Artificial Intelligence and Automated Features

ManageWhat may introduce artificial intelligence, automated document processing, workflow recommendations, or other intelligent features in future releases.

Where such features are introduced, ManageWhat may publish supplementary terms describing their operation, limitations, and data processing requirements.

Unless expressly agreed otherwise, confidential Customer Data will not be used to train external AI models.

Any AI-generated information, recommendation, or document must be independently reviewed by an appropriately qualified professional before being relied upon for legal or regulatory purposes.

ManageWhat does not guarantee the accuracy, completeness, or legal suitability of AI-generated outputs.

This section does not represent a commitment that any particular AI feature is currently available or will be introduced.

16. Data Export, Retention, and Deletion

Customers may request the export of their Customer Data, subject to applicable technical capabilities, lawful restrictions, and reasonable identity verification.

Following termination or expiration of a subscription, ManageWhat will make Customer Data available for retrieval for 30 days, unless a different period is specified in the applicable subscription agreement.

After the retrieval period, ManageWhat may delete or anonymize Customer Data in accordance with its retention policies, contractual obligations, and applicable law.

Information retained in backups may remain temporarily until the relevant backup retention cycle expires.

ManageWhat may retain information where necessary to comply with legal obligations, resolve disputes, or enforce contractual rights.

Customers should request and verify the completeness of any required data export before the retrieval period expires.

17. Account Suspension and Termination

Customers may terminate their subscriptions in accordance with the applicable subscription agreement and cancellation procedures.

ManageWhat may suspend or terminate access where:

  • Subscription payments remain overdue following appropriate notice.
  • A customer materially breaches these Terms.
  • The Platform is used for unlawful purposes.
  • Continued access presents a material security risk.
  • Continued provision of services would violate applicable law.

Where appropriate, ManageWhat will provide notice and a reasonable opportunity to remedy the breach before termination.

Immediate suspension may be necessary where there is an urgent security threat, fraud, or serious unlawful activity.

Upon termination, access rights cease, subject to any applicable data retrieval rights.

Termination does not extinguish obligations relating to accrued payments, confidentiality, intellectual property, liability, or other provisions intended to survive termination.

18. Disclaimer of Warranties

To the fullest extent permitted by applicable law, ManageWhat is provided on an "as is" and "as available" basis, except for warranties expressly stated in a separate written agreement.

ManageWhat does not warrant that:

  • The Platform will operate without interruption or error.
  • Every feature will meet every customer's individual requirements.
  • All third-party integrations will remain continuously available.
  • Automated reminders will prevent every missed deadline.
  • Use of the Platform will produce any particular legal, commercial, or financial outcome.

To the extent permitted by law, implied warranties of merchantability, fitness for a particular purpose, and non-infringement are disclaimed.

Nothing in these Terms excludes warranties or rights that cannot lawfully be excluded.

19. Limitation of Liability

To the maximum extent permitted by applicable law, neither ManageWhat nor its officers, employees, affiliates, or licensors will be liable for indirect, incidental, special, punitive, or consequential damages arising from use of the Platform.

This includes, where legally permissible, loss of profits, business opportunities, goodwill, or consequential business interruption.

Except for liabilities that cannot legally be limited, ManageWhat's aggregate liability arising out of or relating to the Service will not exceed the total subscription fees paid or payable by the affected customer during the 12 months immediately preceding the event giving rise to the claim.

The limitations in this section apply regardless of the legal theory asserted, subject to applicable law.

Nothing in these Terms excludes or limits liability for fraud, willful misconduct, or other liability that cannot lawfully be excluded or limited.

Any separately negotiated liability provisions in a signed enterprise agreement will prevail where expressly applicable.

20. Indemnification

To the extent permitted by applicable law, customers agree to defend, indemnify, and hold harmless Business and Project Analysts LLC and its officers, employees, and representatives against third-party claims, losses, damages, and reasonable legal expenses arising from:

  • Unlawful Customer Data supplied to the Platform.
  • Material violations of these Terms.
  • Unauthorized or unlawful use of the Service.
  • Infringement of third-party intellectual property rights by customer-supplied materials.
  • Unlawful communications initiated by the customer.

This obligation does not apply to the extent a claim results from ManageWhat's own breach, negligence, willful misconduct, or unlawful conduct.

ManageWhat will provide reasonable notice of an indemnified claim and permit the customer to participate in its defense, subject to appropriate protections for ManageWhat's interests.

21. Changes to the Platform and Terms

ManageWhat may update these Terms to reflect changes in legislation, security requirements, technology, business operations, or available services.

Material changes will be communicated through the Platform, by email, or through another reasonable notification method.

Updated Terms will identify their effective date.

Where legally required, ManageWhat will obtain affirmative consent before material changes become binding.

Continued use after properly notified changes take effect may constitute acceptance to the extent permitted by applicable law.

22. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of California, United States, without regard to conflict-of-law principles.

Before commencing formal legal proceedings, the parties agree to make reasonable good-faith efforts to resolve disputes through written notice and direct discussions for a period of 30 days.

If the dispute cannot be resolved informally, the state or federal courts located in Los Angeles County, California, will have exclusive jurisdiction, except where mandatory applicable law requires otherwise.

Each party retains the right to seek urgent injunctive relief from a court of competent jurisdiction where necessary to protect confidential information, intellectual property, or other legally protected interests.

Nothing in this section limits mandatory rights or remedies available under applicable law.

23. Force Majeure

Neither party will be liable for delays or failures in performance caused by events beyond its reasonable control, including natural disasters, widespread internet failures, governmental restrictions, labor disruptions, armed conflicts, or major infrastructure outages.

The affected party must take reasonable steps to mitigate the disruption and resume performance as soon as reasonably practical.

This provision does not excuse payment obligations that accrued before the relevant event.

24. Assignment and Business Transfers

Customers may not assign or transfer their contractual rights or obligations without ManageWhat's prior written consent, which will not be unreasonably withheld.

ManageWhat may assign this agreement in connection with a merger, acquisition, corporate restructuring, or sale of substantially all relevant business assets, provided the successor assumes the applicable contractual obligations.

Any transfer of Customer Data will remain subject to applicable confidentiality and data protection requirements.

25. Severability and Entire Agreement

If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions will continue in effect.

Failure by either party to enforce a contractual right does not constitute a waiver of that right.

These Terms, together with the Privacy Policy, applicable Data Processing Agreement, subscription order, and any signed supplementary agreement, constitute the agreement governing the relevant services.

In the event of a conflict, a specifically negotiated and signed agreement will prevail over these general Terms to the extent of the conflict.
